Welcome to Strive Software, Inc. (“Strive”, “we”, “us”, “our”). By using our services, you (“user”, “you”, “your”) agree to comply with and be bound by the following terms and conditions (“Terms of Service”). Please review these terms carefully. If you do not agree to these terms, you should not use our services.

By accessing or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

3. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any changes by posting the new Terms of Service on our website. You are advised to review these Terms of Service periodically for any changes. Your continued use of our services following the posting of changes constitutes your acceptance of those changes.

4. Definitions

• Account: All Strive accounts created by or on behalf of the Subscriber within the Service.
• Service: The suite of tools for product management provided by Strive, including, but not limited to, feedback collection, roadmap planning, internal communications, and data analysis.
• Subscriber: An individual authorized to use the Service through Your Account.
• Your Data: All electronic data, text, messages, or other materials submitted to the Service by You, Subscribers, and End-Users, in connection with Your use of the Service.

5. Services Strive provides a suite of tools for product managers, including but not limited to feedback collection, roadmap planning, internal communications, and data analysis. Our services are designed to help  managers streamline their workflow, improve collaboration, and make data-driven decisions.

6. User Accounts To access our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

7. Privacy Your privacy is important to us. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of personal information.

8. Use of Services

You agree to use our services only for lawful purposes. You agree not to use our services:

• To attempt to gain unauthorized access to our services, user accounts, computer systems, or networks through hacking, password mining, or any other means.
• To distribute viruses or any other technologies that may harm us or the interests or property of our users.
• To infringe the rights of any third party, including without limitation, intellectual property, privacy, or contractual rights.
• To transmit any material that is defamatory, offensive, or otherwise objectionable.
• To violate any local, state, national, or international law or regulation.

9. Intellectual Property

All content and materials available on our services, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of Strive and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited unless specifically authorized by Strive.

10. Subscription and Fees

Some parts of the service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

11. Free Trial

Strive may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Strive until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

12. Fee Changes

Strive, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Strive will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

13. Refunds

Except when required by law, paid Subscription fees are non-refundable.

14. Termination

We may terminate or suspend your account and bar access to the services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms of Service.

15. Limitation of Liability

In no event shall Strive, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from our service.

16. Indemnification

You agree to defend, indemnify and hold harmless Strive and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms, or (c) Content posted on the Service.

17 AI Features

Strive provides AI features to assist in various tasks. Any content you upload using our AI features (“Input”) and any resulting content generated (“Output”) will be solely owned by you. You are responsible for the creation, development, content, operation, maintenance, use, and dissemination of your data.

17.2 Use Restrictions

You may not use our AI features to:

• Imply that Outputs were solely human-generated.
• Infringe any rights of Strive or third parties.
• Violate any law, regulation, or these AI Terms.

17.3 Training AI Model

We will not use your data to train our AI models for the benefit of other customers. Your data will not be shared with third parties for their model training.

17.4 Warranty

Our AI features are provided “as is.” We do not make any warranty regarding the accuracy or suitability of any information obtained through our AI features. Use the information at your own risk. We disclaim all warranties, express or implied.

18. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Each of the parties to this Agreement consents to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

19. Dispute Resolution

Any disputes arising out of or in connection with these Terms of Service shall be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation before a mutually agreed mediator. If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
